1. Introduction and Acceptance

Welcome to ZeroShop. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ZeroShop E-Commerce Ltd., a company incorporated under the laws of the Republic of Bulgaria ("ZeroShop", "we", "us", or "our").

By accessing or using the ZeroShop platform at zeroshop.io (the "Platform"), including creating an account, creating a merchant store (eshop), or otherwise using our services (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

1A. Definitions

For the purposes of these Terms:

  • "Merchant" means a User who creates and operates one or more Merchant Stores through the Platform.
  • "Customer" means any person or legal entity purchasing goods or services from a Merchant through a Merchant Store.
  • "Merchant Store" or "Eshop" means an online store created and managed by a Merchant through the Platform.
  • "Platform" means the ZeroShop software platform made available at https://www.zeroshop.io.
  • "Services" means the Platform and all related software, features, tools, APIs, integrations, and functionality provided by ZeroShop.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
  • Have the legal capacity and authority to enter into these Terms.
  • If acting on behalf of a legal entity, have the authority to bind that entity to these Terms.
  • Not be prohibited from using the Services under applicable law or previously banned from the Platform.

3. Account Registration

To access certain features of the Platform, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately at support@zeroshop.io of any unauthorized use of your account.

You are responsible for maintaining appropriate security of the devices, credentials, and third-party integrations associated with your account. ZeroShop is not liable for losses resulting from unauthorized access caused by compromised credentials, phishing, malware, or your failure to maintain reasonable account security.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or have been inactive for an extended period, with prior notice where practicable.

4. Merchant Stores (Eshops)

The Platform allows you to create and manage one or more merchant stores ("eshops"). By creating a merchant store, you agree to the following:

  • Compliance: You are solely responsible for ensuring that your eshop and all products, content, and transactions comply with all applicable local, national, and international laws and regulations, including consumer protection, tax, and e-commerce laws.
  • Content Ownership: You retain ownership of all content you upload to your eshop. By uploading content, you grant ZeroShop a limited, non-exclusive, worldwide license to host, display, and distribute that content solely for the purpose of operating the Platform. ZeroShop does not claim ownership of any Merchant Content. All intellectual property rights in Merchant Content remain with the Merchant or the respective rights holder.
  • Limits: Merchant stores are subject to default usage limits as described in our Fair Use Policy (Section 6). These limits exist to prevent abuse and ensure platform stability for all merchants.
  • Prohibited Goods: You must not sell illegal products, counterfeit goods, regulated substances without proper licensing, or any items that violate third-party intellectual property rights.
  • Data Responsibility: As the data controller for your merchant store (see Section 9), you are responsible for the accuracy and lawfulness of all data associated with your store, including product data, customer data, transaction records, and any other information you collect or store through your eshop. ZeroShop processes that data only as your processor, on your instructions, and is not responsible for its accuracy or for the lawfulness of your collection and use of it.

Illegal Activity and Law Enforcement

If ZeroShop has reason to believe that a merchant is engaged in illegal activity — including but not limited to fraud, money laundering, sale of prohibited goods, intellectual property infringement, or any other violation of applicable law — ZeroShop reserves the right to immediately and without prior notice forward all available information, data, and records related to the merchant and their store(s) to the relevant law enforcement authorities, regulatory bodies, or other competent authorities. ZeroShop makes such disclosures where necessary to comply with a legal obligation or to protect the legitimate interests, rights, and safety of ZeroShop, its users, or others, in accordance with applicable law and our Privacy Policy.

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights.
  • Use the Platform in violation of applicable sanctions laws, export control regulations, anti-money laundering (AML) legislation, or trade restrictions.
  • Distribute malware, viruses, or any other harmful code.
  • Engage in fraudulent, deceptive, or misleading activities.
  • Attempt to gain unauthorized access to the Platform, other users' accounts, or our infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform for spamming, phishing, or unsolicited communications.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Scrape, harvest, or collect data from the Platform without express written consent.
  • Resell or redistribute access to the Platform without authorization.

Violation of this Acceptable Use Policy constitutes a material breach of these Terms and may result in suspension or termination of your account, without prejudice to any other rights or remedies available to ZeroShop under applicable law.

6. Fair Use Policy

ZeroShop provides all features without subscription fees. To ensure a reliable experience for all merchants, we apply default usage limits to every account. These limits are not designed to restrict legitimate businesses — they exist solely to prevent abuse of the service.

Default Limits

Each merchant store is subject to default limits on resources such as:

  • Number of products
  • Storage space
  • Bandwidth
  • API requests

Current limits are displayed in the merchant dashboard and may be adjusted from time to time where reasonably necessary to maintain platform stability, security, or fair access for all merchants.

Requesting Higher Limits

If your business has a legitimate need that exceeds the default limits, you can request an increase directly from your merchant settings — at no cost. We review each request individually and approve increases for merchants who demonstrate genuine business needs.

Limit increases are always free

There is no paid tier or upgrade required to raise your limits. If you have a real business need, we will work with you to accommodate it. The limits exist to protect the platform from abuse, not to upsell you.

Abuse Prevention

We reserve the right to deny limit increase requests, reduce limits, or suspend accounts that we believe are abusing the platform. Examples of abuse include but are not limited to:

  • Creating multiple accounts to circumvent limits.
  • Using the platform for purposes other than operating a legitimate e-commerce business.
  • Automated or bulk operations that degrade platform performance for other merchants.
  • Storing content unrelated to your eshop's commercial activity.

7. Intellectual Property

The Platform, including its design, code, features, trademarks, logos, and all associated intellectual property, is owned by ZeroShop E-Commerce Ltd and is protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Platform's intellectual property beyond the limited right to use the Services as described herein.

If you believe your intellectual property rights have been infringed by content on the Platform, please contact us at legal@zeroshop.io with details of the alleged infringement.

8. Pricing and Commission

ZeroShop provides all platform features at no subscription cost. There are no monthly fees, no annual fees, and no charges for accessing any feature on the Platform.

ZeroShop charges a transaction commission of 0.95% on each sale made through your eshop. By using the Platform, you agree to this fee structure.

How commission is accumulated

Commission is calculated on all completed sales generated through your Merchant Store and recorded within the Platform, regardless of the payment method used. If sales are imported or synchronized from external systems, they shall be treated as sales made through the Platform only to the extent that they originate from the Merchant Store operated through ZeroShop. The Merchant is responsible for ensuring that all completed sales generated through the Merchant Store are accurately recorded in the Platform so that the applicable commission can be correctly calculated.

Orders marked as test or cancelled within the Platform are excluded from commission calculations and will not contribute to the accumulated commission balance. Deliberately marking genuine sales as test or cancelled, or otherwise manipulating order records to avoid commission, constitutes a material breach of these Terms and may result in suspension or termination of the Merchant's account.

How commission is paid

  • Stripe Connect: If your eshop is connected to ZeroShop via Stripe Connect, the applicable commission is deducted automatically from each transaction at the time of payment.
  • All other payment methods: For sales made through any payment method that is not processed via Stripe Connect (including COD, bank transfer, and other offline methods), the commission accumulates as a balance owed to ZeroShop on your account.

Settling your accumulated commission

Once your accumulated commission balance reaches a minimum of USD 10, you may settle it at any time directly from your merchant admin panel. Settlement options and available payment methods are described in the admin panel.

You are expected to settle outstanding commission balances on a reasonably regular basis. If an outstanding balance remains unpaid for an extended period, ZeroShop reserves the right to suspend or restrict your account and merchant store(s) until the balance is settled in full. ZeroShop may determine and update the specific payment deadlines and grace periods from time to time at its sole discretion, and will communicate them through the admin panel or by email.

Suspension for unpaid commission does not relieve you of the obligation to pay the outstanding balance. ZeroShop reserves the right to pursue collection of any unpaid amounts through any lawful means.

Third-party fees

In addition to ZeroShop commission, standard payment processing fees charged by third-party payment providers (such as Stripe or PayPal) apply to all transactions made through your eshop. These fees are set by the payment provider, not by ZeroShop, and are the merchant's responsibility.

Any costs incurred through external services you choose to integrate with your eshop are your sole responsibility and are not associated with ZeroShop.

8A. AI Features

Certain Platform features may use artificial intelligence ("AI") to generate content, design, product descriptions, translations, recommendations, or automation.

AI-generated output is provided for convenience only and may be inaccurate, incomplete, or inappropriate.

The Merchant remains solely responsible for reviewing, approving, and publishing any AI-generated content before making it available to customers.

ZeroShop does not guarantee the accuracy, legality, or suitability of AI-generated output.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

Platform-level data: For its own purposes, ZeroShop acts as a data controller and collects limited usage data at the Platform level for statistical purposes (e.g., traffic sources, page views, feature usage), together with the account data you provide as a merchant. This data is used to operate and improve the Platform, as described in the Privacy Policy.

Your customers' data: When you operate an eshop, the Platform stores and processes the personal data of your customers that you collect through it — such as names, contact details, addresses, and order records — on your behalf. With respect to that data, you are the data controller and ZeroShop acts as your data processor under Article 28 GDPR. You are responsible for having a lawful basis for collecting your customers' data, for providing them with appropriate privacy information, and for honouring their data subject rights. ZeroShop processes that data only on your documented instructions and as necessary to provide the Services. The terms of this processing are set out in our Data Processing Agreement, which forms part of these Terms.

10. Disclaimer of Warranties and Limitation of Liability

Important — Please Read Carefully

The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis. By using the Platform, you expressly acknowledge and agree that you do so entirely at your own risk.

To the maximum extent permitted by applicable law:

  • ZeroShop makes no warranties or representations of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.
  • ZeroShop does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • ZeroShop does not warrant that the Platform will meet your requirements or that any data stored on the Platform will not be lost, corrupted, or compromised.
  • You bear sole and complete responsibility for any decisions, actions, or transactions you make based on or through the Platform, including all sales, customer interactions, and business operations conducted through your eshop.
  • ZeroShop shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or any other intangible losses.
  • To the maximum extent permitted by applicable law, ZeroShop's total aggregate liability arising out of or relating to these Terms or your use of the Platform — whether in contract, tort, or otherwise — shall not exceed the total commission paid by you to ZeroShop in the twelve (12) months preceding the event giving rise to the claim.
  • These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if ZeroShop has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under mandatory applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZeroShop, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform or Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Content you upload, publish, or make available through your eshop.
  • Any dispute between you and a third party, including your customers.

12. Termination

By you: You may terminate your account at any time by contacting us at privacy@zeroshop.io or through your account settings. Upon termination, your eshops will be deactivated and your data will be handled in accordance with our Privacy Policy.

By Us

ZeroShop may suspend, restrict, or permanently terminate your account and access to the Platform immediately and without prior notice where you have breached these Terms, are engaged in or reasonably suspected of illegal activity, have failed to settle an outstanding commission balance, or where we are required to act by law or a competent authority.

Where we terminate your account for reasons not attributable to your breach or conduct — for example, if we discontinue the Platform or a material part of it — we will give you reasonable prior notice (normally at least 30 days) by email or through the Platform where practicable. Nothing in this Section limits any rights you may have under mandatory applicable law, including consumer protection law.

Without limiting the above, grounds for termination may include but are not limited to:

  • Breach of these Terms or our Acceptable Use Policy.
  • Suspected or confirmed illegal activity (in which case your data may be forwarded to authorities as described in Section 4).
  • Request by law enforcement or regulatory authority.
  • Failure to settle an outstanding accumulated commission balance within the applicable payment window, as described in Section 8.
  • Discontinuation of the Platform or any material part of it.
  • Any conduct that ZeroShop reasonably believes poses a risk to the security, integrity, availability, reputation, or lawful operation of the Platform or the Services.

Effect of termination: Upon termination, your right to use the Platform ceases immediately. All merchant stores associated with your account will be deactivated. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

No liability: To the maximum extent permitted by applicable law, and subject to Section 10 (Limitation of Liability), ZeroShop shall not be liable to you or any third party for any lawful suspension or termination of your account or access to the Platform.

Data: Following termination, your data will be handled in accordance with our Privacy Policy. Where termination is related to suspected illegal activity, data may be retained and disclosed to authorities as required.

Data Export: Where technically feasible, Merchants may export their business data before account deletion. Following termination, ZeroShop may retain Merchant data for a limited period where required by law, or necessary for security, fraud prevention, dispute resolution, or enforcement of these Terms, after which the data will be deleted or anonymized in accordance with the Privacy Policy.

13. Service Availability

While we strive to maintain high availability, we do not guarantee uninterrupted access to the Platform. The Platform may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice where possible).
  • Emergency maintenance or security updates.
  • Force majeure events (natural disasters, war, government actions, pandemics, etc.).
  • Third-party service outages beyond our control.

Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including the events listed above.

Merchants are responsible for maintaining their own backups of business-critical information where appropriate. ZeroShop is not responsible for any loss of data resulting from circumstances beyond its reasonable control or from the Merchant's failure to maintain appropriate backups.

13A. Beta Features

From time to time ZeroShop may provide beta, preview, or experimental features.

Such features are provided for evaluation purposes only, may change without notice, and may be discontinued at any time.

Beta features may not be as reliable as generally available Platform functionality.

14. Modifications to Terms

ZeroShop reserves the right to modify, update, or replace these Terms at any time and at its sole discretion. Changes may include, but are not limited to, adjustments to fees, features, usage limits, and policies.

  • The updated Terms will be posted on this page and will indicate the "Last updated" date at the top.
  • We will notify you of material changes — including any increase to the commission rate or the introduction of new fees — by email and/or a prominent notice on the Platform at least 30 days before they take effect.
  • Changes to fees or the commission rate: your continued use of the Platform after such a change takes effect constitutes your acceptance of it. If you do not agree, you may terminate your account before the change takes effect, and the existing terms will continue to apply to you until then.
  • Other changes: your continued use of the Platform after the changes are posted constitutes your acceptance of the modified Terms.
  • If you disagree with any changes, you may terminate your account at any time.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, excluding its conflict of law rules, and subject to any mandatory provisions of applicable European Union law.

Dispute resolution: Any dispute arising out of or relating to these Terms shall be resolved as follows:

  1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.
  2. Mediation: If negotiation fails, the parties may submit the dispute to mediation under the rules of the Bulgarian Chamber of Commerce and Industry.
  3. Jurisdiction: If mediation fails or is not pursued, disputes shall be submitted to the competent courts of Sofia, Republic of Bulgaria.

If you are a consumer resident in the European Union, you retain the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory consumer rights under EU law. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/odr.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ZeroShop regarding your use of the Platform.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ZeroShop.
